Terms and Conditions
Effective Date: June 01, 2026
1. Introduction and Acceptance
This document constitutes a legally binding agreement (“Terms”) between you (“User,” “you,” or “your”) and OonePower Technology Co., Ltd. (“OonePower,” “we,” “us,” or “our”), a company registered in Cambodia, governing your use of the UnifyCharge Mobile Application (“App”). The App is a core component of the UnifyCharge EV Charging Ecosystem, enabling Users to locate, book, and pay for electric vehicle (“EV”) charging sessions at charging stations across Cambodia, integrated with the national charging network and managed via the UnifyCharge Centralized Charge Point Management System (“CSMS”).
By downloading, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any updates or amendments. If you do not agree, you must not access or use the App. These Terms comply with applicable Cambodian laws, including the Law on Electronic Commerce and the Consumer Protection Law.
2. Definitions
For clarity and precision, the following terms have the specified meanings:
- App
- The UnifyCharge Mobile Application, available on iOS and Android platforms.
- CSMS
- The UnifyCharge Centralized Charge Point Management System, facilitating real-time management and interoperability with charging stations.
- CPO
- Charge Point Operator, an independent entity owning and operating EV charging stations, whether within the UnifyCharge network or accessible through roaming arrangements.
- OCPI
- The Open Charge Point Interface, an open protocol enabling interoperability and roaming between EV charging networks, through which Users may access charging stations operated by third-party CPOs outside the UnifyCharge network.
- Charging Station
- Physical infrastructure owned and operated by a CPO for EV charging, whether in-network or accessed via roaming (including OCPI).
- Services
- App functionalities, including locating stations, booking, paying, and managing charging sessions.
- User
- Any individual accessing or using the App.
- Digital Wallet
- An in-App payment mechanism for storing funds and paying for charging sessions.
3. Description of Services
The App provides a comprehensive, cashless platform for EV charging in Cambodia, offering:
- Interactive mapping to locate charging stations.
- Real-time data on station availability, charger types, and capacity.
- Booking and reservation of charging sessions.
- Remote initiation, monitoring, and termination of charging sessions.
- Secure payment processing via the Digital Wallet or alternative methods.
- Usage analytics, including charging history and cost breakdowns.
- Additional features as developed to enhance user experience.
The App is compatible with devices running iOS 12.4 or higher or Android 5.0 or higher. OonePower may release updates to improve functionality, security, or compliance, which you may be required to install to continue using the App. Services are provided “as is” and “as available,” subject to the limitations outlined herein.
4. Account Registration and Eligibility
To access full Services, you must register an account:
- Provide accurate, current, and complete information (e.g., name, phone number, email).
- Maintain the confidentiality of your account credentials. You are solely responsible for all activities under your account, whether authorized or not, unless you promptly notify us of unauthorized use at support@unifycharge.com.kh.
- Be at least 18 years of age. Users under 18 may use the App with verifiable parental consent, provided the parent or guardian agrees to these Terms on their behalf.
OonePower reserves the right to suspend or terminate accounts for violations of these Terms, including providing false information or engaging in prohibited activities.
5. Digital Wallet and Payments
The Digital Wallet is the primary payment method for charging sessions, supported by various top-up methods to ensure accessibility in Cambodia’s developing market.
5.1 Digital Wallet
5.1.1 Definition and Purpose
The “Digital Wallet” is an in-App feature that allows Users to store funds and make payments for EV charging sessions. It provides a convenient, cashless payment method, aligning with Cambodia’s digital payment trends.
5.1.2 Top-Up Methods
Users can add funds to their Digital Wallet using:
- Direct Bank Transfers
- KHQR
- Other methods introduced by OonePower
5.1.3 Top-Up Limits
- Minimum Top-Up: any minimum amount allowed by our payment and banking partners. These amounts are subject to their own terms and conditions by these services.
- Maximum Top-Up: any available amount allowed by our banking partners. These amounts are subject to their own terms and conditions by these services.
OonePower may adjust these limits with prior notice via the App or email.
5.1.4 Wallet Balance
- Funds are non-transferable and solely for payments within the App.
- No interest is payable on balances.
- Balances do not expire for active accounts.
- Funds added to the Digital Wallet are non-refundable, except in the case of account deletion as set out in Section 5.1.7, or as otherwise required by Cambodian law.
5.1.5 Payments for Charging Sessions
- The Digital Wallet is the primary payment method for charging sessions.
- Actual costs are deducted from the Digital Wallet upon session completion.
- If the Digital Wallet balance is insufficient, Users are prompted to top up or use alternative payment methods (e.g., KHQR, direct bank transfers).
- Users are required to settle unpaid invoices as soon as possible. Users may face account suspension or a permanent ban if unpaid invoices are not settled after 180 days.
5.1.6 Transaction Fees
- No fees are charged for topping up the Digital Wallet.
- A transaction fee may apply to each charging session, as displayed in the App prior to initiation.
5.1.7 Top-Up Refunds
Top-Ups Are Final. Except as expressly set out in this Section 5.1.7 or as required by Cambodian law, all funds added to the Digital Wallet (top-ups) are final and non-refundable. OonePower does not refund top-ups on request, including for unused balances, partially used balances, or changes of mind.
Account Deletion Exception. The sole exception is account deletion. A User who deletes their account from the system may request a refund of their remaining unused Digital Wallet top-up balance, subject to the following conditions:
- Only the unused, remaining top-up balance in the Digital Wallet is refundable. Top-up funds already spent on charging sessions, together with any applicable fees, are non-refundable.
- The refund request must be submitted in connection with the account deletion, and in any event within thirty (30) days of the account deletion, to support@unifycharge.com.kh, including the account details necessary to verify the request.
- OonePower may complete identity verification and any anti-fraud, anti-money-laundering, or regulatory checks before processing the refund, and may withhold or decline a refund where required or permitted by law (for example, in cases of suspected fraud or where funds are subject to a dispute or legal hold).
- Approved refunds are processed to the original top-up method, or to another method agreed with the User where the original method is unavailable, within fourteen (14) business days of approval. OonePower is not responsible for any further delays caused by third-party payment processors or banking partners.
Refund amounts are denominated and paid in Cambodian Riel (KHR), unless otherwise required by law or agreed in writing.
5.1.8 Security and User Responsibility
- Users are responsible for maintaining the security of their account and Digital Wallet, including using strong passwords and not sharing credentials.
- OonePower employs industry-standard encryption and security measures to protect the Digital Wallet.
- In case of suspected unauthorized access or fraudulent activity, Users must notify OonePower immediately at support@unifycharge.com.kh.
5.1.9 Dormant Accounts
- Accounts inactive for twelve (12) months may incur a dormancy fee or be closed.
- Remaining balances in closed accounts are handled in accordance with Cambodian regulations, including potential transfer to a designated authority if unclaimed.
- Dormant accounts may undergo verifications and processes set out by OonePower before they are considered for deletion. Users may be notified in advance before an account is closed or deleted.
5.1.10 Compliance with Regulations
- The Digital Wallet is operated in compliance with the National Bank of Cambodia’s regulations for payment service providers, as outlined in the Prakas on Payment Service Providers.
- Users must comply with all applicable laws, including anti-money laundering and counter-terrorism financing regulations.
5.1.11 Currency
All transactions are conducted in Cambodian Riel (KHR), unless otherwise specified.
5.1.12 Transaction History
Users can access their transaction history, including session details and costs, within the App’s analytics section.
5.1.13 Disputes
- Users must report transaction discrepancies or disputes within thirty (30) days of the transaction date to support@unifycharge.com.kh.
- OonePower will investigate and respond within fourteen (14) business days.
5.2 Alternative Payment Methods
- In addition to the Digital Wallet, Users may pay for charging sessions directly using KHQR or direct bank transfers, when they are available within the App.
- Users must ensure payment information is accurate and up-to-date.
- OonePower is not liable for issues arising from incorrect payment information provided by Users.
5.3 Billing and Invoicing
- Users receive a digital receipt for each charging session via the App or email, detailing session duration, energy consumed, and cost.
- Transaction history and invoices are accessible through the App.
6. User Obligations and Conduct
By using the App, you covenant and agree to:
- Use the App and Services in strict accordance with these Terms, OonePower guidelines, and applicable Cambodian laws.
- Ensure your EV is compatible with the selected charging station, adhering to standards.
- Follow all safety instructions provided in the App or at charging stations.
- Disconnect your vehicle promptly upon completion of charging to avoid idle fees, if imposed by the CPO or specified in the App.
- Refrain from tampering with, damaging, or misusing charging equipment.
- Comply with any additional rules or regulations imposed by CPOs or the charging station’s location.
- Ensure all charging cables and adapters are in good working condition and suitable before and after use.
7. Intellectual Property Rights
All content, software, designs, text, graphics, logos, and trademarks within the App are the exclusive property of OonePower or its licensors, protected by Cambodian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App solely for personal, non-commercial EV charging purposes. This license is personal and may not be assigned or transferred without OonePower’s prior written consent. You shall not copy, modify, distribute, reverse-engineer, or create derivative works from the App or its content.
8. Data Protection and Privacy
OonePower collects and processes personal data (e.g., name, contact details, payment information, location) to deliver Services. Our data handling practices comply with Cambodian data protection guidelines and are detailed in our Privacy Policy. By using the App, you consent to the collection, use, and sharing of your data as described therein. You acknowledge that location data is necessary for locating charging stations and that payment data may be shared with third-party processors.
In compliance with applicable Cambodian laws and to support the development of electric vehicle (EV) infrastructure, OonePower may collect, use, and share data related to charging sessions and electric vehicle types with relevant government authorities. This data may be utilized for purposes including, but not limited to, enhancing and optimizing charging infrastructure, strategic infrastructure planning, ensuring compliance with regulatory and safety standards, compiling government reports, conducting research on EV adoption, and supporting educational initiatives. By using the App, you consent to the collection, use, and sharing of such data as described.
9. Charging Station Operations and Disclaimer of Responsibility for Physical Infrastructure
The App and CSMS serve as a digital platform that connects Users to charging stations and facilitates the discovery, reservation, initiation, and payment of charging sessions. The operation of EV charging stations is the responsibility of independent Charge Point Operators (CPOs), and not solely of OonePower.
9.1 In-Network and Roaming (OCPI) Operations. Charging stations accessible through the App fall into two categories:
- In-network stations operated by CPOs that participate in the UnifyCharge network and are integrated with the CSMS.
- Out-of-network (roaming) stations operated by third-party CPOs and networks that are made accessible through interoperability arrangements, including the Open Charge Point Interface (OCPI) protocol and similar roaming integrations.
In both cases, the charging stations — including the chargers, connectors, cabling, electrical connections, power supply, and associated physical infrastructure — are owned, operated, and maintained by the relevant CPO and not by OonePower.
9.2 Allocation of Responsibility. Accordingly:
- OonePower is not solely responsible for, and disclaims responsibility for, issues arising from charger faults, equipment malfunctions, energy delivery, station availability, pricing set by the CPO, safety, or the maintenance of physical charging infrastructure.
- OonePower is not responsible for issues that are not connected with the CSMS or the App, including faults, outages, or interruptions originating from a CPO, a roaming partner’s systems, an OCPI integration, the electrical grid, or other external factors beyond OonePower’s reasonable control.
- For out-of-network (roaming) sessions, the terms, conditions, pricing, and policies of the relevant third-party CPO or network may also apply to your use of that station.
- Any issues, damages, or disputes arising from the physical use of a charging station must be directed to the relevant CPO. OonePower will, where reasonable, assist Users in directing such matters to the appropriate CPO or roaming partner but does not assume the CPO’s obligations.
9.3 OonePower’s Scope of Responsibility. OonePower is responsible only for the functions it directly provides through the App and the CSMS, such as session management, payment processing within the App, and the digital connection to charging stations. OonePower shall exercise reasonable care in providing accurate station information sourced from CPOs and roaming partners but is not liable for inaccuracies, unavailability, or other issues caused by CPOs, roaming partners, OCPI data, or external factors.
10. Limitations of Liability
To the fullest extent permitted by Cambodian law:
- The App and Services are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including fitness for a particular purpose.
- OonePower, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or vehicle damage, arising from your use or inability to use the App or Services.
- OonePower’s aggregate liability is limited to the total amount paid by you for Services in the twelve (12) months preceding the claim, where permitted by law.
- OonePower is not liable for losses or damages caused by factors beyond its reasonable control, including power outages, internet failures, or third-party actions.
These limitations do not exclude liability for death, personal injury, or fraud where such exclusion is prohibited by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless OonePower, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with:
- Your breach of these Terms.
- Your misuse of the App or Services.
- Your violation of any third-party rights, including intellectual property or privacy rights.
- Any damage caused to charging stations or other property due to your actions or negligence.
12. Third-Party Websites and Services
The App may include links to or integrations with third-party websites or services (e.g., payment processors, mapping services). These are provided for convenience only, and OonePower does not control or endorse such third parties. Your use of third-party services is at your sole risk and subject to their respective terms and conditions. OonePower is not liable for any issues arising from your interactions with third-party services.
13. Service Availability
OonePower strives to maintain reliable Services but does not guarantee uninterrupted or error-free access due to factors such as scheduled maintenance, power outages, or internet disruptions, which are prevalent in Cambodia’s developing infrastructure. We are not liable for any losses or damages resulting from service interruptions.
14. Termination
By You: You may terminate your account by deleting it from the system or by contacting support@unifycharge.com.kh. You remain liable for any outstanding payments. Where you voluntarily delete your account, you may request a refund of your remaining unused Digital Wallet balance in accordance with the account deletion exception set out in Section 5.1.7. Any balance that is not the subject of a valid and approved refund request, including balances forfeited where required or permitted by law, will cease to be available upon termination.
By OonePower: We may suspend or terminate your account immediately, with or without notice, for:
- Breach of these Terms.
- Non-payment of fees or charges.
- Suspected fraudulent or unauthorized activity.
- Any other reason at our sole discretion.
Where OonePower suspends or terminates your account for cause (including breach of these Terms, non-payment, or suspected fraudulent or unauthorized activity), the account deletion refund described in Section 5.1.7 does not apply, and any Digital Wallet balance may be withheld pending investigation or applied toward amounts you owe, to the extent permitted by law.
Upon termination, your personal data may be deleted, except as required by law or for legal, financial, or operational purposes (e.g., record retention for six years).
15. Changes to Terms
OonePower reserves the right to modify these Terms to reflect changes in Services, legal requirements, or business practices. Significant changes will be communicated via email or in-App notifications at least seven (7) days prior to taking effect. Your continued use of the App after such changes constitutes acceptance of the revised Terms. You are advised to review these Terms periodically.
16. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Kingdom of Cambodia. Any disputes arising out of or in connection with these Terms shall be resolved as follows:
- Negotiation: You agree to first contact support@unifycharge.com.kh to seek an amicable resolution within thirty (30) days.
- Arbitration: If unresolved, disputes shall be submitted to binding arbitration in Phnom Penh, Cambodia, conducted under the rules of the National Commercial Arbitration Centre.
- Courts: If arbitration is inapplicable, disputes shall be subject to the exclusive jurisdiction of the courts in Phnom Penh. You waive any objection to the venue or jurisdiction of such proceedings.
17. Force Majeure
OonePower shall not be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, power outages, internet failures, or actions of third parties. In such cases, OonePower will notify you and resume Services as soon as practicable.
18. Miscellaneous
18.1 Third-Party Rights: These Terms do not confer any rights or benefits on any third party, except as expressly provided herein.
18.2 Severability: If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
18.3 Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and OonePower regarding the use of the App, superseding all prior or contemporaneous agreements, understandings, or representations.
18.4 Language: These Terms are provided in English and Khmer. In the event of any discrepancy between the two versions, the English version shall prevail.
18.5 Waiver: No delay or failure by OonePower to enforce any provision of these Terms shall constitute a waiver of such provision or any other right.
18.6 Assignment: You may not assign or transfer your rights or obligations under these Terms without OonePower’s prior written consent. OonePower may assign its rights or obligations to an affiliate or successor without your consent.
